OPENTEKNIK LLC, COMMERCIAL LICENSE v1.0

1. Preamble: This Agreement governs the relationship between Buyer, a Business Entity (hereinafter: Licensee), and OpenTeknik (hereinafter: Licensor). This Agreement sets the terms, rights, restrictions, and obligations on using the Premium Version / Components (hereinafter: The Software) created and owned by Licensor.

2. License Grant: Licensor hereby grants Licensee a Personal, Non-assignable & non-transferable, Perpetual, Commercial, Non-exclusive license to use the Software, subject to the following terms:

   1. This license is granted perpetually, provided Licensee does not materially breach this Agreement.
   2. Non-Assignable: Licensee may not assign or transfer rights and duties under this license to any third party.
   3. Commercial Use & Restrictions: Licensee is permitted to use the Software for commercial purposes, including charging end-users for access or features. However, Licensee is strictly prohibited from using the Software to compete with Licensor; this includes, but is not limited to, reselling the Software, redistributing the source code, or providing the Software as a service (SaaS) to third parties who wish to create or host their own websites.
   4. No Derivative Works: Licensee does not have the right to create derivative works for redistribution or resale.
3. Term & Termination: This license remains in effect until terminated. Licensor may terminate this Agreement immediately if Licensee becomes insolvent, breaches any terms of this license (specifically Section 2), or exports the Software to a jurisdiction where Licensor’s rights cannot be enforced.
4. Payment: Licensee shall pay the required fee via Credit Card, PayPal, or other approved means. Failure to perform payment constitutes a material breach and voids the license.
5. Upgrades, Updates, and Fixes: Your Premium license includes indefinite access to the core software version and all features released within your first 6 months. After this period, the software remains functional, but further updates and technical support require a renewal. Access to live services, including the pre-published mobile app and Sentiment API, is only available while a support plan is active.
6. Fully Qualified Domain Name (FQDN): Licensee shall use the software only on a fully qualified public domain name. Installation on localhost, local machines, private networks, or raw IPs is not supported. (e.g., https://www.example.com is valid; localhost is not).
7. Single Domain License: This license is valid for use with one (1) domain name only. Use on multiple domains requires the purchase of additional licenses.
8. Support: Technical support is provided for 6 months from the date of purchase via issue tracker or email. Support is strictly limited to unmodified software (excluding CSS/images) running on supported server environments.
9. Liability: To the extent permitted by law, the Software is provided "AS-IS." Licensor is not liable for any damages, bugs, or data loss resulting from the use or failure of the Software.
10. Warranty & IP:
    1. Intellectual Property: The software is the sole intellectual property of OpenTeknik.
    2. No-Warranty: Licensor disclaims all warranties, including that the Software will be error-free or meet specific functional requirements.
    3. Prior Inspection: Licensee acknowledges they have inspected the Software and found it satisfactory for their needs prior to purchase.
11. No Refunds: As the software is an intangible digital good, Licensee is not entitled to any refund, rebate, or compensation for any reason once the purchase is complete.
12. Governing Law & Jurisdiction: Licensee hereby agrees not to initiate class-action lawsuits against Licensor in relation to this license and to compensate Licensor for any legal fees, cost or attorney fees should any claim brought by Licensee against Licensor be denied, in part or in full.
